Edgerton Burroughs

G. E. Buck Waters, Chairman

After retiring as an Employee Benefits Consultant in Washington, D.C., Mr. Waters entered private consulting, specializing in tourism and economic development. He is currently the Vice President of The Waters Foundation, a philanthropic organization founded by his wife, Julie. For over 20 years he has been involved with his community having served on over 35 boards and committees. He is currently the Chairman of the Board of Directors and a former Chair of the Personnel & Compensation Committee. He is also serves as a liaison to the Shareholder Advisory Committee and the B&C Foundation. He and Julie have been married for 31 years and have four children.

Currently serving as the Stockholder Advisory Committee Liaison.

Mr. Waters has undergraduate degrees in Economics and History from Mary Washington College.

Mr. Benton is co-owner of C. L. Benton & Sons, Inc., a leading general contractor in the Coastal Carolinas, owner/manager of Arrowhead Country Club and former owner of Osprey Marina. A lifelong resident of Myrtle Beach, he serves on several boards including Chapin Foundation, The Coastal Educational Foundation and the Wall College of Business Board of Visitors. His service on the Burroughs & Chapin Board includes membership on the Nominating & Corporate Governance, Personnel & Compensation and the Investment Committees.

Currently serving on the Nominating & Governance, Personnel & Compensation, and Investment Committees.

Mr. Benton received a Bachelor of Science in Business Administration from Clemson University

J. Marshall Biddle

Mr. Biddle is an attorney specializing in Real Estate and Business Law in Horry County. He is a member of the South Carolina Bar and is admitted to practice in the U.S. District Court, District of South Carolina, U.S. Court of Appeals 4th Circuit, and U.S. Supreme Court. A lifelong resident of Conway, South Carolina, he serves on the Board of Directors and as Corporate Secretary of Burroughs Company; Board of Visitors of Wall College of Business for Coastal Carolina University; Medical Center Foundation; and Chairman of Board of Trustees of Palmetto Advancement of Learning Motor Sports.

Currently serving as the Chair of Nominating & Governance, as well as a member of the Investment and Strategic Planning Committees.

Mr. Biddle received a Bachelor of Science in Management & Real Estate from the Darla Moore School of Business, and a Juris Doctor from the University of South Carolina.

L. Howard Brooks, Jr.

Mr. Brooks is a Principal at Medalist Capital, Inc., a Commercial Real Estate Investment and Finance Company headquartered in Charlotte, North Carolina. A resident of Raleigh, North Carolina he is active with numerous commercial real estate professional affiliates, both locally and nationally. Mr. Brooks has served as a Director of the Company since 2004 with service as a member of the Investment, Audit and Strategic Planning Committees.

Currently serving as the Chair of Investment, as well as a member of the Audit and Strategic Planning Committees.

Mr. Brooks received a Bachelor of Arts from the University of North Carolina at Chapel Hill.

Deborah Burroughs

Deborah A. Burroughs

Ms. Burroughs is a lifelong resident of Horry County. She has over 25 years of banking experience and is a vice-president and commercial banker with Tidelands Bank in Myrtle Beach. She serves on the board of directors and as president of Burroughs Company in addition to serving on the board of directors for Chapin Company. Ms. Burroughs is a member of the Chicora Rotary Club and is actively involved in the Grand Strand Community where she currently serves as a board member of the Coastal Carolina University Spadoni School of Education Board of Visitors and The Boys and Girls Club of the Grand Strand. Other community involvement includes the Myrtle Beach Chamber of Commerce, Leadership Grand Strand, United Way, and Grand Strand Optimist Club and service on the boards of Franklin G. Burroughs – Simeon B. Chapin Art Museum, Kids Voting, Chicora Rotary, and South Carolina Bankers School Advisory Board.

Currently serving on the Audit, Nominating & Corporate Governance and Strategic Planning Committees.

Ms. Burroughs is a graduate of USC Coastal Carolina with a Bachelor of Science in Business Administration (emphasis in Management and Real Estate), and a Bachelor of Arts in Psychology, she also earned a Master in Business Administration from Winthrop University and is an alumnus of South Carolina Bankers School, as well as, Louisiana State University’s Graduate School of Banking.

Timothy G. Dargan

Mr. Dargan is President of Dargan, King and Knight, L.L.C., and Natural Resource Consultants. A resident of Darlington, South Carolina, Mr. Dargan is active in a number of civic and community organizations. He has been a Director of the Company since 1990 with service as a member of the Investment, Personnel & Compensation, and Strategic Planning Committees.

Currently serving on the Personnel & Compensation, Investment, and Strategic Planning Committees.

Mr. Dargan received a Bachelor of Arts in Political Science and Bachelor of Science in Forestry from the University of the South - Sewanee.

Margaret P. Latshaw

Ms. Latshaw is a Managing Partner of a real estate consulting firm that provides development, strategic planning and portfolio management services. She has more than 20 years of experience in real estate including development at one of the largest retail strip center developers in the country, and senior corporate positions in real estate at Bank of America, Sprint and H&R Block. A licensed real estate broker and resident of Parkville Missouri, she is active in local and national real estate associations. A Director since 2006, she has served on the Audit, Nominating & Corporate Governance, Personnel & Compensation and Strategic Planning Committees. Ms. Latshaw served as Chair of the Audit Committee from 2006-2011.

Currently serving on the Audit, Nominating & Corporate Governance and Investment Committees.

Ms. Latshaw received a Bachelor of Arts/Phi Beta Kappa from Swarthmore College, and a Master of Business Administration from Wharton School of Finance.

Harrison L. Richardson III

Mr. Richardson, formerly the Factory Manager for Elmet Technologies, an advanced enabling materials company, is now a manufacturing and business consultant for several companies in Maine. Additionally, he is active in Portland, Maine real estate management.

As a Director, he currently serves as the Chair of Personnel & Compensation, as well as a member of the Audit and Nominating & Governance.

Mr. Richardson received a Bachelor of Science in Mechanical Engineering from the University of Maine.

Dr. Clifford E. Roemer

Dr. Roemer is a Radiologist at Presbyterian Hospital and Mecklenburg Radiology Associates. A resident of Charlotte, North Carolina, he is active in professional and community activities. A Director of the Company since 1994, he has served as a member of the Audit, Nominating & Governance, and Personnel & Compensation Committees.

Currently serving as Chair of the Strategic Planning as well as a member of the Audit and Personnel & Compensation Committees.

Dr. Roemer earned his Bachelor of Arts and Master of Arts in Chemistry and Physics from Harvard University, and a Doctor of Medicine from Case Western Reserve University.

Mark Rosen

Mark J. Rosen

Mr. Rosen, Managing Director and head of Pearl Meyer & Partners Charlotte office, has consulted on executive and Board compensation issues for more than 20 years for a broad range of public companies, as well as tax-exempt organizations and academic institutions. Mr. Rosen has extensive experience with benchmarking, retirement plan design, governance issues, and tax and accounting considerations.

Currently serving as Chair of the Audit, as well as a member of the Nominating & Governance and Personnel & Compensation Committees.

Prior to joining Pearl Meyer & Partners, Mr. Rosen was a Partner in the Human Capital Practice of Arthur Andersen, where he led the Southeast Compensation Practice as well as the Carolinas’ Human Capital Practice. Mr. Rosen holds a B.B.A. and an M.S. in Accounting with a specialty in Taxation from Texas A & M University. He is also a Certified Public Accountant.

Francis B. "Jensie" Teague

Mr. Teague is a Principal and Founding Partner for Selwyn Property Group, Inc. He was formerly the National Team Leader for Lauth Property Group's Retail Development program and Senior Managing Director for Faison Associates and Trammell Crow Company. A resident of Charlotte, North Carolina, Mr. Teague has more than 20 years experience in commercial real estate, and has developed over 5 million square feet of retail properties. He is a member of the ICSC, CCIM, Urban Land Institute, and Charlotte Board of Commercial Realtors, and is Board Chair for Charlotte Preschool Partnership and Board Member of the Central Avenue Bilingual School. A Director of the Company since 2008, he has served as a member of the Personnel & Compensation, Investment and Strategic Planning Committees.

Currently serving on the Strategic Planning, Personnel & Compensation and Investment Committees.

Mr. Teague received a Bachelor of Arts in Economics, cum laude from Washington & Lee University, and a Master of Business Administration from the University of North Carolina at Chapel Hill.

Mr. Burroughs is the owner of the Carolina Consultant Company, a real estate development/consultant company headquartered in Conway, South Carolina. A resident of Murrells Inlet, South Carolina, he is active in a number of church and community/civic organizations. In addition he serves on numerous boards and committees including Director and Chairman of the Board for Burroughs & Chapin Company from 1990 - 2012. He has served as a member of the Investment, Nominating & Governance, Personnel & Compensation, Strategic Planning and Civic & Government Committees.

Mr. Burroughs received a Bachelor of Arts from the University of the South in Sewanee, Tennessee.
